What Property Owners Through a Bulgarian Company Need to Know

Dear Clients,

As of 1 January 2026, Bulgaria officially adopted the euro (ˆ) as its currency.

For clients who own a house, land or other property in Bulgaria through a Bulgarian company (EOOD/OOD), the change to the euro does not affect ownership of the property. Your company remains the legal owner of the property, and there is no need to transfer or re-register your property because of the euro adoption.

However, there are several company-related matters that should be addressed during 2026.

1. Your property ownership remains unchanged

If your Bulgarian company is registered as the owner of your house and/or land, the adoption of the euro does not change:

✓the ownership of your property;
✓the title deed;
✓the property registration;
✓the company's ownership of the land or buildings;
✓your rights as shareholder or company member.

There is therefore no need for a new property transaction or notarial deed solely because Bulgaria adopted the euro.

The euro adoption concerns the currency and financial/accounting side of the company, rather than the ownership of your property.

2. What happens to the company's registered capital?

One of the important changes concerns the registered capital of Bulgarian companies.

During January 2026, the Bulgarian Registry Agency will officially convert the registered capital recorded in the Commercial Register from Bulgarian leva (BGN) into euro.

This applies to, among others:

✓Limited Liability Companies (EOOD/OOD);
✓Joint Stock Companies (AD);
✓Limited Partnerships with Shares (KDA).

For Joint Stock Companies and Limited Partnerships with Shares, the nominal value of the shares will also be converted.

The conversion is carried out according to the rules established by the Law on the Introduction of the Euro in the Republic of Bulgaria.

What does this mean for company owners?

The conversion of the capital does not affect the rights of shareholders or company members, nor does it change their percentage participation in the company's capital.

In other words, the euro conversion does not change who owns the company or what percentage of the company each shareholder/member owns.

3. Company documents must be updated during 2026

Although the Registry Agency will carry out the conversion of the registered capital, Bulgarian companies must also bring their corporate documents into line with the new euro amounts.

By the end of 2026, companies must adopt the necessary amendments to their:

✓Articles of Association;
✓Deed of Incorporation;
✓Company Agreement;
✓Statutes,

as applicable, so that these documents reflect the company's capital converted into euro.

Companies must also bring their internal corporate documents into compliance with the requirements of the euro legislation.

4. What does an EOOD/OOD need to submit to the Commercial Register?

For EOOD and OOD companies, by the end of 2026 the company must submit for announcement in the Commercial Register a certified copy of its Deed of Incorporation or Company Agreement, showing:

the company's capital converted into euro; and
the converted value of the shares held by the respective company members.

The document must be certified by the person or persons representing the company.

No state fee is payable for this announcement.

For other company structures, such as Joint Stock Companies, the relevant amended Statutes must also be submitted, reflecting the converted capital and nominal value of the shares.

5. What should you do as a property-owning company?

If you own your Bulgarian house or land through an EOOD/OOD, we recommend contacting your Bulgarian accountant or company lawyer during 2026 and asking them to check:

✓ The company's registered capital in the Commercial Register
✓ The euro conversion of the company's capital and shares
✓ The Deed of Incorporation / Company Agreement
✓ The company's internal corporate documents
✓ The company's bank accounts and payment details
✓ Accounting records and invoices
✓ Any ongoing contracts or obligations that still refer to amounts in Bulgarian leva

Your accountant or lawyer can also arrange the necessary update and submission of the company's documents to the Commercial Register.

6. What about the company's bank account?

Existing Bulgarian lev (BGN) balances were converted into euro at the official fixed conversion rate:

ˆ1 = BGN 1.95583

The conversion of bank account balances was carried out automatically.

Companies should nevertheless check their banking arrangements and make sure that:

✓ the company's account is operating in EUR;
✓ future payments are made in euro;
✓ banking details provided to clients and suppliers are correct;
✓ the company's accounting records are properly maintained in euro.
7. Do you need to do anything with your house or land?

No – not because of the euro adoption.

If your Bulgarian company owns your property, you DO NOT need to:

✓ change the title deed;
✓ transfer the property to yourself personally;
✓ register the property again;
✓ change the ownership in the Property Register;
✓ sign a new purchase agreement.

Your existing property ownership remains valid.

The required changes relate primarily to the company's capital, corporate documents, banking and accounting records.

8. An important reassurance for shareholders

The conversion of company capital into euro is carried out in accordance with the principles established by the Law on the Introduction of the Euro in the Republic of Bulgaria.

The conversion is designed so that it does not affect the rights of shareholders or company members or their respective participation in the company's capital.

Therefore, if you own a Bulgarian company that owns your property, the introduction of the euro does not mean that you lose or change any part of your ownership interest in the company or in the property held by that company.

Our recommendation

If you own a Bulgarian property through a company, 2026 is a good time to review your company's documents and banking arrangements and make sure that the necessary corporate updates have been completed.

In particular, we recommend speaking with your Bulgarian accountant or lawyer before the end of 2026 to make sure that your company's constitutive documents have been updated and submitted to the Commercial Register where required.
